Terms and conditions
Scope
These terms and conditions apply to all contracts covering digital services, software development, digital products and other services offered, concluded between you and:
HarborBitWeichselweg 38
21391 Reppenstedt
Info@xhaolab.com
+49 152 29288635
In the following we refer to ourselves as “we” and to you as the “customer”. These terms apply in the version published on this page at the time of your booking or of accepting a quote.
Any differing terms of yours do not become part of the contract unless we have expressly agreed to them in text form.
Our services are offered exclusively to businesses within the meaning of Section 14 of the German Civil Code (BGB) – that is, companies, the self-employed and freelancers entering into the contract for their trade, business or profession. You confirm this to us when you book the project blueprint and when you accept a quote.
What we provide
We build software for companies, in particular:
- websites, landing pages, online shops and web applications
- repairs to existing websites: load time, consent, hardening, accessibility, multilingual
- programs that run on the machine: tools, line-of-business, system-level and portable software
- replacing legacy systems: data migration, interfaces and migration
- custom services, systems software and complete systems
- digital products as well as maintenance, support and further development of existing systems
What exactly we build for you is set out in the respective quote, order or product description. That alone defines the scope owed — descriptions on this website present our offering in general terms and are not a binding offer.
How a contract is concluded
A contract is concluded as soon as you accept a quote from us or successfully complete an order for a digital product. For digital products you receive confirmation by e-mail. Special rules for booking the project blueprint are set out further below in this section.
We may decline orders if we have no capacity or if legal or technical reasons stand in the way. In that case we refund any payments already made in full.
You book the project blueprint online on the payment page of our payment service provider Stripe. You enter your details there and can check and correct them at any time until you click the payment button. By clicking the payment button you make a binding offer and pay the price in advance. We accept your offer with our confirmation email, usually right away and no later than the same working day; if you book on a weekend or public holiday, on the next working day. Your offer is binding for five working days; if we have not accepted it by then, we refund the amount in full. If we do not accept it – for example because we have no free capacity or the booking is not made for a commercial or self-employed professional activity – we refund the amount paid promptly and in full. You receive the payment receipt and the invoice by email; Stripe stores the booking data for us. The contract languages are German and English. You can access, save and print the current version of these terms here; we will send you the version that applied to your booking on request. We have not subscribed to any special codes of conduct.
Prices and payment
Prices follow from the respective quote or product description; the price valid at the time the contract is concluded applies. For individual projects, the quote states a fixed price for the scope described in it. As a small business under Section 19 UStG, we currently do not charge VAT. If the conditions of the small-business scheme cease to apply to a service performed after the contract is concluded, we will charge statutory VAT on that service in addition and will tell you before performing it.
Invoices are payable in full within the stated period unless we have agreed otherwise.
You pay project invoices by bank transfer to the account stated on the invoice. If the invoice lists further payment methods, you may use those as well.
You pay for the project blueprint in advance when booking. It covers working out your project in writing – scope, technical approach and risks – and a binding fixed-price quote with a timeline that is valid for 30 days; we clarify open questions with you along the way. You may use the blueprint without restriction, even if you do not hire us. If you commission the quoted project within these 30 days, we credit the full amount against the project price. If the blueprint is not delivered for reasons for which you are not responsible, we refund the amount in full. If you pay in a currency other than euros on the payment page, Stripe converts the amount and may charge a conversion fee for this; paying in euros remains possible.
For projects, payments fall due according to the payment schedule in the fixed-price quote; without one, we may request instalments for work already performed under Section 632a BGB.
Right of withdrawal
Our services are offered exclusively to businesses (Section 14 BGB); there is no statutory right of withdrawal. We do not accept bookings from consumers and refund any amounts already paid in full.

How projects run
Individual projects need your input: content, access credentials, approvals and information must reach us in good time and in full. You ensure that you hold the rights to everything you supply — texts, images, logos, data. For work on existing systems – takeover, data export, interfaces, replacement and security testing – you authorise us to use and analyse the systems, programs, databases and access credentials you name to the agreed extent and to export data from them, including within the meaning of Section 69e(1) no. 1 of the German Copyright Act (UrhG). You warrant that you are entitled to do so and that manufacturers’ licence terms do not prevent it; if this entitlement is missing for reasons for which you are responsible, you indemnify us against third-party claims. We carry out security tests only on systems named in writing in the quote.
If your input is missing, delivery dates shift accordingly. We may invoice costs arising from extended waiting periods if we have notified you of them beforehand.
Digital products
We make digital products available electronically once payment has been received — as a download, via an access link or by another digital route.
You are responsible for meeting the technical requirements for use. The respective product description states what those are.
You may use digital products for the agreed purpose. Passing them on, publishing, reselling or commercial use beyond the agreed scope is permitted only where we have expressly agreed to it.
Rights of use
Upon payment in full you receive, in everything we create for you under the contract – including source code and project files – a non-exclusive right of use that is unlimited in time, territory and content, transferable and sublicensable. It includes in particular the right to reproduce the results, make them publicly available, modify them and have third parties develop them further.
For acceptance we provide the result in working order for review. We hand over the source code and project files in full, in the accepted version, against the final payment, together with the access credentials and documentation you need to continue the work. An exclusive right of use can be agreed in the quote on request.
We may continue to use general methods, technical concepts and reusable components not developed specifically for you; you receive the right of use described above in them to the extent you need it for the results. Third-party components – such as open-source libraries, fonts or images – are subject to their own licence terms; we list them for you at handover. Where we use AI tools for results, we tell you at handover. Purely AI-generated components are generally not protected by copyright under German law; we cannot grant exclusive rights in them.
Until payment in full, you may use the results for review and acceptance and for any agreed trial operation.
Acceptance
For individually created work you review the result after handover and report any evident defects. You have fourteen days to review unless we have agreed otherwise.
After handover we set you a reasonable period for acceptance of at least fourteen days. If you do not refuse acceptance within that period, stating at least one defect, the work is deemed accepted. Your statutory rights in respect of defects remain unaffected.
Changes and additions
Additional requirements arising after the contract is concluded constitute additional work. They may incur extra costs and shift delivery dates.
Before implementing anything additional we tell you what it covers and what it costs. We only start once you have agreed.
Warranty
We work to the best of our knowledge and with the care customary in our industry. In the event of defects, the statutory warranty rights apply. Claims for defects become time-barred one year after acceptance. This does not apply to intent, gross negligence, fraudulent concealment, injury to life, body or health, where a guarantee has been given, or to claims under the Product Liability Act.
Report evident defects promptly and as precisely as possible — with a description, the time of occurrence and, if possible, a way to reproduce the problem. That speeds up the fix considerably.
Liability
We are liable without limitation for intent and gross negligence. The same applies to injury to life, body or health and to all cases in which liability is mandatory by law.
For simple negligence we are liable only where we breach an obligation you are entitled to rely on and without which the contract could not be performed. In that case liability is limited to the damage typically foreseeable at the time the contract was concluded.
In cases of simple negligence, our liability for loss of data is limited to the effort that would have been needed to restore the data had you backed it up regularly and appropriately for the risk.
Liability under the German Product Liability Act remains unaffected.
Data protection
We process personal data in accordance with applicable data protection law. What we process, when and for what purpose is set out in our privacy notice.
Confidentiality
Both sides treat confidential information from the collaboration as confidential and do not pass it on to third parties without authorisation. This continues to apply after the project ends. Exempt is information that is publicly known or that we are required to disclose by law.
We may name and show results created for you as a reference once they are publicly visible — unless you object.
Ongoing services and support
For maintenance, support and ongoing care, the agreed terms, notice periods and scope apply. Without a separate agreement our work ends when the project is handed over.
Final provisions
If one provision of these terms is invalid, the remaining provisions stay in force. If the German and English versions differ, the German version prevails.
German law applies. If you are a consumer resident in the EU, the protection of mandatory provisions of your country of residence remains unaffected.
If you are a merchant, a legal entity under public law or a special fund under public law, Lüneburg is the place of jurisdiction for all disputes arising from the contractual relationship.
We do not participate in dispute resolution proceedings before a consumer arbitration board and are not obliged to do so.
This version: 17 October 2026.

The XhaoLab process in five steps
-
Analysis & Strategy
Analyse business goals, bottlenecks and potential. The result is a clear roadmap with measurable priorities.
-
Concept & Architecture
Information architecture, user flow, data flows and integrations are planned for scalability and performance.
-
Design & Prototype
A prototype makes the result tangible early — as a clickable page or interface, before the actual development starts.
-
Development & Integration
We build websites, applications and interfaces, and connect them to the systems already running. Load time and maintainability are requirements, not afterthoughts.
-
Launch & Optimisation
After launch we measure impact, reliability and usage — and refine the system based on those numbers.
All under one roof.
Websites, software and rescue for legacy systems – built in-house, at a fixed price.
